The change made is intended to optimise and simplify the ownership structure and will not have any influence on the consolidated financial statements and balance sheet of the Midas Group.</p>

<p>Key information from the consolidated financial statements were announced by the Company on this day:</p>

<li>Revenue for Q3 2014 was PLN 114.0 million, representing growth of 102 per cent in comparison with Q3 2013.</li>
<li>The EBITDA result for Q3 2014 reached a value of PLN 1.9 million, in comparison with an EBITDA loss of PLN 28.1 million in Q3 2013.</li>
<li>The net loss for Q3 2014 was PLN 61.0 million, in comparison with a loss of PLN 61.4 million in Q3 2013.</li>
<li>The Management Board of the Company announced the approval of assumptions for updating strategy, involving the need to invest in the LTE 800 network.</li>

<p>Commentary on the consolidated financial results for Q3 and M9 2014:</p>
<p>Group revenue for Q3 2014 was PLN 114.0 million, 102 per cent more than in Q3 2013. The rapid growth in Group revenue for Q3 2014 was caused by further growth in data consumption by Group customers, which was at 22.7 million GB in Q3 2014. In effect, the revenue seen in the first nine months of 2014 was PLN 253.3 million, or 70 per cent more than in the equivalent period of 2013.</p>
<p>Growth in revenue from sales and stable operating costs allowed the Group to achieve an EBITDA result for Q3 2014 of PLN 1.9 million, in comparison with an EBITDA loss of PLN 28.1 million in Q3 2013. In effect, the EBITDA loss for the first nine months of 2014 was PLN 88.2 million (compared with a loss of PLN 69.8 seen in the equivalent period of 2013).</p>
<p>The Group’s net loss for Q3 2014 was PLN 61.0 million, in comparison with a net loss of PLN 61.4 million noted in Q3 2013. The net result for Q3 2014 is encumbered by a one-off, non-cash financial cost of PLN 29.8 million recorded in connection with an increase in the cost of bonds issued by the Company (due to the abolition of part of the security on the bonds). As from 23 September, Midas will be found in the sector “telecommunications”. Up to now, the Company was listed in the “other finance” category.</p>
<p>Midas S.A. is the parent company in a capital group which focuses on providing wholesale telecommunications services. By being listed on the Warsaw Stock Exchange, the Company ensures that the Group will have financing for infrastructure investments, as well as communication with financial markets. At the same time, it determines strategy and coordinates the implementation thereof. The Group includes Aero2, CenterNet and Mobyland.</p>

<p>In accordance with the strategy of Midas S.A., the Group’s goal is to establish a state-of-the-art broadband LTE/HSPA+ internet access provider in Poland with its own telecommunications infrastructure. At the end of the first half of 2013, the number of base stations was more than 2,900. Further expansion plans anticipate that by mid-2014 (i.e. at the end of the second phase of network expansion), the Midas Group will have a total of over 4,000 base stations. The Group’s target is to ensure that 66 per cent of the Polish population is covered by the LTE network and almost 100 per cent by the HSPA+ network. </p>
<p>In June 2013 monthly data transfer consumption in networks belonging to the Midas Group amounted to almost 2.4 million GB, against just under GB 1.5 million in December 2012.</p>Record growth of revenue and data usage for the Midas Group in Q1 20132013-05-16T15:16:00+02:00<p>In Q1 2013, the revenue of the Midas Group increased by approximately 51 per cent compared to Q4 2012, amounting to nearly PLN 43 million. That growth was mainly caused by the increasing popularity of LTE-based internet access, which translated to higher usage of data transmission services by the Group’s customers, and by growth in the reach of the telecommunications network as a result of it being expanded systematically. Monthly data usage by customers of the Group - Polkomtel and Cyfrowy Polsat - exceeded GB 2.1 million in March.</p>

<p>The Company has already secured funds for expanding its telecommunications network. In April, it issued bonds with a value of approximately PLN 200 million, and in Q1 2013 signed a credit agreement with Alior Bank with a value of PLN 150 million. Midas also signed a term sheet agreement with BZ WBK/Banco Santander which established conditions for obtaining up to PLN 364 million. </p>Midas increases revenue through greater demand for data transfer:2013-03-25T14:06:00+01:00<p>The 2012 revenue of the Midas Group almost tripled compared to the previous year’s result, reaching nearly PLN 90 million. This resulted from a sharp increase in the popularity of mobile internet in Poland, followed by demand for data transfer. Monthly data usage in the Midas network is now at over GB 1 million, and in December alone it reached nearly GB 1.5 million.</p>

<p>Last year, Midas procured financing for the proposed network roll-out. In order to carry out phase 2 of its expansion, the Company will use its own funds and debt financing through a loan from Alior Bank. The Company will also issue bonds for a total value of up to PLN 200 million.</p>Midas will issue bonds and gain PLN 200 million2013-03-07T16:52:00+01:00<p><strong>As a result of this issue, Midas will gain financing for the second phase of expansion of its network.</strong></p><p>Poland’s first wholesale Internet supplier in LTE technology has decided to issue bonds from which it will gain PLN 200 million. As a result of this issue, Midas will gain financing for the second phase of expansion of its network for data transfer in ultra-fast LTE/HSPA+ technology, which is to be completed in mid-2014.</p>
<p style="text-align: justify;">In accordance with the decision of the Company’s Management Board, Midas will issue up to 600,000 bonds with a par value of PLN 1,000 each. The unit price of the bonds will, after taking a discount into consideration, be PLN 342.77 – which means that Midas will gain about PLN 200 million. The bond issue will be on 29 March 2013 and they will be repurchased on 29 March 2021. The Company will strive to have the bonds introduced to trading on the Catalyst market.</p>
<p style="text-align: justify;">As a result of the funds gained from the series D issue and the debt financing, the Midas Group will by mid-2014 (i.e. at the end of the second phase of network expansion) have a total number of over 44,000 base stations. In the next stage, the Company wants to carry out phase 3 of its expansion of the network. Realising this plan will ensure that 66 per cent of the Polish population is covered by the LTE network and almost 100 per cent by the HSPA+ network.</p>The Midas Group signed a credit agreement with Alior Bank2013-03-01T17:18:00+01:00<p>Midas received PLN 150 million in credit from Alior Bank to develop its network.</p><p>The Midas Group signed a credit agreement which will enable it to further expand the network for ultra-fast Internet transmission in LTE/HSPA+ technology. The funds obtained are to be used up by the end of March 2015 at the latest.</p>
<p>Listed on the Warsaw Stock Exchange, Midas is Poland’s only wholesale Internet provider in LTE/HSPA+ technology. The Company is currently carrying out the second phase of expansion of its network, at the end of which it will have 3,400 base stations in all.</p>
<p>At the end of 2012, the Company had a network consisting of about 2,000 base stations.</p>Change of the name of the company to Midas S.A.2013-02-13T10:38:00+01:00<p style="text-align: justify;">The element “Narodowy Fundusz Inwestycyjny” has been removed from the name of the Company.</p><p>The Management Board of Midas S.A. has received a copy of a decision of the District Court for the City of Warsaw of 12 February 2013 to make an entry in the National Court Register on amending the Statute of the Company, in accordance with Resolution 19/2012 of the General Meeting of Shareholders of 31 October 2012. In accordance with the resolution adopted, among other things, the name of the Company is changed from the previous “Narodowy Fundusz Inwestycyjny MIDAS Spółka Akcyjna” to the current wording “Midas Spółka Akcyjna”. In connection with the above changes, the logo of the Company and other elements of its visual identification will be updated.<br /> <br /> The Management Board of the Company wishes to reiterate that the change of the Statute of the Company is caused by the entry into force of the Act of 30 March 2012 Repealing the Act on National Investment Funds and their Privatisation and Amending Certain Acts, which requires companies established pursuant to the Act on National Investment Funds and their Privatisation of 30 April 1993 to amend their business names so that the new business name does not contain the phrase “Narodowy Fundusz Inwestycyjny” [National Investment Fund] or the abbreviation “NFI” [NIF].</p>Polkomtel has placed another order for data transmission services with Mobyland from the Midas Group2012-12-28T10:50:00+01:00<p style="text-align: justify;">Mobyland has accepted an order for data transmission services from Polkomtel.</p><p style="text-align: justify;">Mobyland, a telecommunications company from the NFI Midas Group, has accepted an order for data transmission services from Polkomtel. The net value of the order for transmitting 22 million GB of data is PLN 145,305,600.</p>
<p style="text-align: justify;">“This is the second order for data transmission we’ve received from the Plus network operator. The first was for 11 million GB,” says Krzysztof Adaszewski, President of the Management Board of NFI Midas. Mobyland provides services to Polkomtel on the basis of a 5-year agreement concluded in March 2012. The value of the agreement is defined on the basis of separate orders.</p>
<p style="text-align: justify;">Pursuant to the agreement, Mobyland will provide access to a wireless data transmission service rendered in the 1800 and 900 MHz bands in LTE or HSPA+ technology. For this purpose, a network will be used which is based on frequencies of the Midas Group and the Group entities Centernet and Aero2.</p>
<p style="text-align: justify;">Mobyland and Polkomtel agreed that, given the early submission of the order by the Plus network operator, the price per megabyte transmitted under the order would be PLN 0.00645 net, i.e. lower than that accepted in the first order (PLN 0.00925/MB). Settlement of the new order and the as yet unpaid part of the previous order will be made according to the schedule agreed:</p>
<ul style="text-align: justify;">
<li>the net amount of PLN 16,952,320 will be paid in two equal instalments in November and December 2012,</li>
<li>the net amount of PLN 113,590,245.59 will be paid in 23 equal monthly instalments due from January 2013 to November 2014,</li>
<li>the net amount of PLN 23,693,742.12 constituting a one-off final payment for the order will be paid in December 2014.</li>
</ul>
<p style="text-align: justify;">The total value of both orders by Polkomtel is PLN 222,045,587.</p>NFI Midas and Sferia sign Framework Agreement2012-12-24T10:32:00+01:00<p style="text-align: justify;">Under an agreement concluded, Sferia will buy NFI Midas bonds of a value not exceeding PLN 200 million.</p><p style="text-align: justify;">In the agreement signed, Sferia expressed interest in acquiring eight-year zero-coupon bonds at an issue price not exceeding PLN 200 million. In accordance with the framework agreement, by the end of 2013 NFI Midas will make an offer or a number of offers to Sferia for acquiring bonds, and Sferia will accept such offer or offers if they are in compliance with the conditions of the agreement.</p>
<p style="text-align: justify;">Both companies also undertook to conclude a supply agreement in accordance with which the Midas Group will supply Sferia with a telecommunications network. The framework agreement also stipulates that if Sferia obtains a right to manage frequencies which make it possible to provide internet access services in LTE technology, it will conclude an agreement with the Midas Group under which it will resell network capacity to the Group under a wholesale model. The Midas Group will have the right to further resell those services.</p>Changes to the Management Board and Supervisory Board of NFI MIDAS S.A.2012-12-16T11:31:00+01:00<p>Mr. Krzysztof Adaszewski was elected President of the Company.</p><p style="text-align: justify;">The Supervisory Board of the Company decided that Krzysztof Adaszewski, currently the Management Board member responsible for finance, would become the new President of the Management Board of NFI Midas. Wojciech Pytel, the previous President of the Management Board, will join the Supervisory Board of the Company as its Chairman. Dariusz Łukasiewicz will round out the Management Board. On the Supervisory Board of NFI Midas, Wojciech Pytel will replace Andrzej Chajec and take on the position of Chairman. <p>In a verdict from July 26th, the Supreme Administrative Court has dismissed a complaint from Polska Telefonia Cyfrowa and has sent the case for consideration to the State Administrative Court. Therefore the decision issued by the President of Urząd Komunikacji Elektronicznej (Office of Electronic Communication) on the 30th of November, 2007 (DZC-WAP-5174-6/07(190)), on the basis of which the 1800 MHz frequency was reserved for NFI Midas' subsidiaries - CenterNet and Mobyland remains valid.</p>

A maintenance agreements has also been finalised.</p>
<p style="text-align: justify;">Ericsson has pledged to provide WCDMA and LTE technologies, which will enable the introduction of the most modern data transmission services. Ericsson guarantees the best possible solution when it comes to the network's reliability and efficiency and will also assure that new devices and programs are compatible with the existing elements of the network. Ericsson has also pledged full cooperation with Plus' and Aero2's other service and device providers.</p>

<p>The analysts of Trigon DM recommend buying NFI Midas' shares in their report</p><p><span>Analitycy Trigon Dom Maklerski w raporcie z 28 czerwca rozpoczęli wydawanie rekomendacji dla NFI Midas od zalecenia "kupuj" z ceną docelową na poziomie 1,18 zł. </span>Raport wydano przy cenie 0,58 zł za akcję spółki.</p>
<p>Dom Maklerski Trigon podkreśla, że NFI Midas jest jedynym podmiotem w Polsce zdolnym wytworzyć na potrzeby komercyjne pojemność w technologii LTE. Zdaniem analityków nowoczesna technoligia w połączeniu z przewagą czasową nad innymi operatorami powinny zapewnić NFI Midas ugruntowaną pozycję na rynku mobilnego dostępu do internetu w Polsce.</p>

<p>The analysts of Trigon DM have begun issuing recommendations for NFI Midas with a "buy" in a report from the 28th of June, with a target price of 1,18 zł. At the time of the reports issuing, the shares were listed at 0,58 zł.</p>
<p>Dom Maklerski Trigon emphasizes, that NFI Midas is the only entity in Poland capable of producting data capacity in LTE for commercial purposes. According to the analysts, modern technology alongside a time advantage against other operators should ensure NFI Midas an established position on the mobile internet market in Poland.</p>

<p style="text-align: justify;">The financing of the takeover of 100% of shares of Conpidon Limited, which is the owner of Aero2 Sp. z.o.o. was the main goal of the last NFI Midas share emission. Thanks to the funds acquired from shareholders, the fund paid the whole price for Aero2. Furthermore, through the repayment of the debt to Alior Bank, the company has fulfilled its second emission goal. On the 26th of April 2012 an early buyout of bonds with a nominal value of 71,5 mil zł was made.</p>
<p style="text-align: justify;">Currently the NFI Midas Group is dynamically achieving its countrywide ultrafast mobile internet network expansion program, which utilies LTE/HSPA+ technology. On the 26th of April 2012, the fund granted its subsidiary - Aero2, a loan for 20 mil zł, for it to finance further investments related to expanding the telecommunication network.</p>
